01. ACCEPTANCE & ACKNOWLEDGMENT
BY ACCESSING OR USING NutterTools, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE OUR SERVICES.
You represent that you are at least 18 years old and have the legal capacity to enter into these terms. If using on behalf of an entity, you represent you have authority to bind that entity.
02. CREDIT SYSTEM - ABSOLUTELY NON-REFUNDABLE
Final Sale – Credits Are Non-Refundable
Once purchased, credits are intended for use in our services and cannot be refunded, exchanged for cash, or reversed. Please plan your purchases accordingly.
Credits Never Expire
Your credits remain in your account until you use them. We may occasionally close accounts that have been inactive for more than five years, but you will receive a 30-day notice beforehand.
Service Availability
Credits give you access to our services, but occasional downtime or changes may occur. While we strive for reliable service, refunds or compensation are not provided for service interruptions.
Account Termination
Your account will only be closed for serious reasons, such as violating our terms of service. Accounts will not be canceled arbitrarily. If an account is closed, any remaining credits will no longer be available, so please keep this in mind when purchasing credits.
03. SERVICE COMMITMENT AND DISCLAIMER
OUR GOAL IS TO PROVIDE THE BEST SERVICE POSSIBLE:
NutterTools STRIVES TO PROVIDE THE SERVICES RELIABLY AND ACCURATELY. WE WORK HARD TO ENSURE EVERYTHING FUNCTIONS AS EXPECTED, BUT TECHNOLOGY CAN SOMETIMES BE UNPREDICTABLE.
WHILE WE DO EVERYTHING WE CAN, WE CANNOT GUARANTEE:
- The services will always perfectly meet your requirements or expectations
- The services will be completely uninterrupted, timely, or error-free at all times
- All issues or defects will be immediately corrected
BY USING OUR SERVICES, YOU ACKNOWLEDGE THAT WHILE WE STRIVE TO DO OUR BEST, SOME RISKS MAY STILL EXIST. WE'VE GOT YOUR BACK, BUT TECHNOLOGY ISN'T PERFECT—NO WORRIES THOUGH!
04. COMPLETE LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
IN NO EVENT SHALL NutterTools, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE OUR SERVICES.
THIS INCLUDES, WITHOUT LIMITATION:
- LOSS OF DATA, REVENUE, OR PROFITS
- LOSS OF BUSINESS OPPORTUNITY OR GOODWILL
- SYSTEM FAILURE OR MALFUNCTION
- INCORRECT OUTPUT OR CALCULATIONS
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
- COST OF SUBSTITUTE SERVICES
- ANY OTHER COMMERCIAL DAMAGES OR LOSSES
YOU ACKNOWLEDGE THAT WE WOULD NOT PROVIDE ACCESS TO OUR SERVICES WITHOUT YOUR AGREEMENT TO THIS COMPLETE LIMITATION OF LIABILITY.
05. YOUR SOLE RESPONSIBILITY
YOU ARE 100% SOLELY RESPONSIBLE FOR:
- All output, data, and results generated using our tools
- How you use, interpret, or rely on any output
- Any decisions or actions you take based on our services
- Ensuring your use complies with all applicable laws and regulations
- Maintaining security of your account and API keys
- All activity occurring under your account
- Backing up your own data
WE ARE NOT YOUR ADVISOR, CONSULTANT, OR PARTNER. WE PROVIDE TOOLS ONLY—YOU PROVIDE THE JUDGMENT AND RESPONSIBILITY.
06. ACCEPTABLE USE & TERMINATION
We reserve the RIGHT to TERMINATE or SUSPEND your access IMMEDIATELY, WITHOUT NOTICE OR REFUND, for:
- Violation of these terms (determined solely by us)
- Abusive, excessive, or automated usage that impacts our systems
- Any conduct we deem harmful to our business or users
UPON TERMINATION: Your right to access services ceases immediately, and ALL CREDITS ARE FORFEITED WITHOUT COMPENSATION.
07. NO DISPUTES, NO CLASS ACTIONS, BINDING ARBITRATION
YOU AGREE THAT ANY DISPUTE ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL BE RESOLVED SOLELY THROUGH BINDING, INDIVIDUAL ARBITRATION.
YOU WAIVE:
- RIGHT TO A JURY TRIAL
- RIGHT TO PARTICIPATE IN A CLASS ACTION OR MULTI-PARTY LAWSUIT
- RIGHT TO BRING CLAIMS AS A PRIVATE ATTORNEY GENERAL
- RIGHT TO CONSOLIDATE CLAIMS WITH OTHERS
ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY, NOT AS A CLASS MEMBER OR REPRESENTATIVE. ANY ARBITRATION SHALL BE CONFIDENTIAL AND FINAL.
08. INDEMNIFICATION
You agree to DEFEND, INDEMNIFY, AND HOLD HARMLESS NutterTools from and against ANY claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to: (a) your use of our services; (b) any output or data you generate; (c) your violation of these terms; (d) your violation of any law or third-party right.
09. MODIFICATIONS
We reserve the RIGHT to MODIFY these terms at ANY TIME. Changes are effective immediately upon posting. Your CONTINUED USE constitutes acceptance. If you don't accept changes, your ONLY remedy is to stop using services. NO REFUNDS UPON TERMINATION FOR DISAGREEMENT WITH CHANGES.
10. GOVERNING LAW & JURISDICTION
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Any arbitration shall be conducted at a mutually agreed location. By participating, you consent to the exclusive jurisdiction and venue of the chosen location.
11. SEVERABILITY & WAIVER
If any provision is found unenforceable, the remainder remains in full force. Our failure to enforce any right does not waive that right.
THESE TERMS CONSTITUTE THE ENTIRE AGREEMENT between you and NutterTools regarding your use of our services.
12. CONTACT & ACCEPTANCE
BY USING NutterTools, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. You acknowledge that NO ORAL OR WRITTEN INFORMATION PROVIDED BY US CREATES ANY WARRANTY OR ADDITIONAL RIGHTS.
